Distribution agreement checklist

Here are a few important steps to take to finish your document

Read the document to make sure it meets your needs and that you’ve provided all of the necessary information about the planned distribution arrangement. Remember that, if you have any questions, you can Ask a lawyer for advice.

Various Schedules must be attached to your completed Distribution Agreement before it is signed. Schedules can be attached digitally (eg by adding your Agreement and the schedules into the same document) or you may print your Agreement and attach paper copies of the schedules. You should attach:

  • Schedule 4 - Suppliers conditions: these are the Terms and conditions of business that the supplier applies to sales between the supplier and the distributor (although note that the Distribution Agreement prevails if there are inconsistencies between the Agreement and the supplier’s terms and conditions)

  • Schedule 1 - The products and prices: if you choose not to set out the list of products available to the distributor and their prices within your Distribution Agreement, you must insert these in this schedule

The supplier and the distributor must both sign the Agreement. If either is a company or a partnership, its representative (ie signatory) must sign. 

The date of the Agreement is the date on which the parties sign, if that is the same day. If they sign on different days, the date of the Agreement is the day on which the last person signs. The start date of the Agreement may be a different, agreed upon ‘effective date’ set out in the document.

You can sign your Distribution Agreement by either:

  • signing online using RocketSign, or

  • signing in print

    • print a copy of the Agreement (including the attached schedules) for both parties 

    • both parties should sign and date both copies by hand. They can do this at different times, for example, if the supplier sends the distributor two signed copies and asks them to sign both and return one

Each party should keep their own original signed Agreement.
