A Non-Disparagement Employment Agreement, like a standard Employment Agreement, includes terms on employee compensation, job duties, expense reimbursement and benefits, but it's also designed to protect a company's reputation. Should a relationship with an employee turn sour, the employee has agreed to avoid saying anything disparaging about the business to others.
