As with many of its corporate filing requirements, Delaware is fairly accommodating when it comes to allowing you to choose a registered agent. In Delaware, the registered agent simply has to be a legal entity, business, or individual who is a resident of Delaware and who is authorized to do business in Delaware. Additionally, Delaware requires each registered agent to have a physical address in Delaware other than a Post Office box. Registered agents must also be available during normal business hours to accept service if necessary. Delaware’s Secretary of State can provide you with a list of official registered agents, who are in the business of handling such services. But you can designate a registered agent who is not on this list as long as all the other requirements for being a registered agent are met.

After you have made a short list of possible registered agents, you should interview your prospective agents about the services they offer. Most of the time, you will not need your agent to do very much, but you should pay particular attention to the organization of the agent’s office and the timeliness of responses. These may seem like small details, but at times, it can be vital for communications sent to your agent to reach you right away. After you select a registered agent, you must sign a contract or agreement designating that individual or business as your agent. Once this is done, you can prepare the rest of the paperwork to register your Delaware LLC.
