Question
Do online businesses need foreign qualification?
I run an online business and sell to customers in multiple states, but I don’t know when a state can require me to register there.
Answer
Sometimes. An online business may need foreign qualification in another state if it has enough business activity there. The rules vary by state, but registration is more likely when the business has employees, offices, inventory, or regular operations in that state.
Simply selling products online to customers in different states does not always require foreign qualification. But online businesses may still trigger tax registrations or compliance requirements in states where they have strong business connections.
What can trigger foreign qualification for an online business?
An online business may need to register in another state if it:
- Has employees or remote workers there.
- Stores inventory in warehouses or fulfillment centers there.
- Opens offices or physical locations there.
- Regularly performs services in the state, though whether it triggers foreign qualification depends on the extent of the activity and the state's definition of "doing business.”
- Has ongoing business operations beyond online sales alone.
Using third-party fulfillment services or maintaining inventory in another state can sometimes create registration or tax obligations.
Is selling online alone enough to require registration?
Not always. Many states do not require foreign qualification based only on occasional online sales to customers there.
But states may still require:
- Sales tax registration after certain sales thresholds are reached.
- Payroll tax registration for remote employees.
- Business licenses or permits in some situations.
The rules for taxes and foreign qualification are not always the same. A business may owe sales tax in a state even if foreign qualification is not required.
What to do next…
- Review where the business has employees, inventory, or physical operations.
- Check sales tax and foreign qualification rules in high-sales states.
- Track where products are stored or shipped from.
- Keep records of sales activity, payroll, and state registrations.
What to consider in your specific situation
Online business registration requirements can vary depending on how the business operates across state lines.
- Whether employees or contractors work in other states.
- Where inventory, warehouses, or fulfillment centers are located.
- State sales tax and economic nexus thresholds.
- The amount and frequency of sales in each state.
- Whether services are performed in-person or remotely.
- Future plans for expansion, hiring, or physical locations.
