Bylaws like the sample bylaws listed below state the intended structure of a newly founded business or nonprofit organization.  Your bylaws will also state how your corporation will conduct its affairs.  Bylaws usually cover topics such as when meetings of directors will be held, how elections of directors will take place, what officers the organization will have and and a description of their duties.  Normally bylaws require a super-majority (67%) of membership to amend, but can also require a simple majority (51%).  Make sure your bylaws are clear; your company will run much more smoothly with clear bylaws.
